A&E "Criss Angel Mindfreak Secret Code" Sweepstakes
2008 Official Rules
No Purchase Necessary.

1. NO PURCHASE NECESSARY. Standard text messaging rates apply to each text
message sent or received in Participant's wireless plan. Contact your carrier for pricing
plans and details. You may stop receiving text messages at any time by responding
"stop", "end" or "quit" to any of the messages. Sweepstakes is open to legal residents of
the 50 United States and the District of Columbia and Canada (excluding Quebec) , who
are 21 years of age or older as of July 23, 2008. A&E Television Networks ("Sponsor"),
NMA Entertainment & Marketing ("Administrator"), Luxor Hotel and Casino and Cirque
du Soleil/CRISS ANGEL Believe™ ("Promotional Partners"), and each of their respective
parents, affiliates, subsidiaries, advertising and promotional agencies, prize providers,
participating retail locations and each of their respective officers, directors, employees
and members of the immediate family and persons living in the same household of each
are ineligible. The A&E "Criss Angel Mindfreak Secret Code" Sweepstakes
("Sweepstakes") begins at 10:00:00 PM Eastern Time ("ET") on July 23, 2008 and ends
at 11:59:59 PM ET on August 26, 2008 ("Promotion Period"). Void in Puerto Rico, the
U.S. Virgin Islands, U.S. Military installations in foreign countries, Quebec and
everywhere else outside the U.S. and Canada and where prohibited, or otherwise
restricted by law. Subject to all federal, state, local, provincial and municipal laws. By
entering the sweepstakes, Participants are bound by and agree to these official rules.

2. PROGRAM DESCRIPTION: A&E and Sponsor will run a 5-week online and text
messaging Sweepstakes, beginning with the July 23, 2008 Criss Angel Mindfreak
premiere. Criss Angel Mindfreak will air that Wednesday night and every following
Wednesday night for five (5) weeks. During each week's one-hour or half-hour episode,
a special word will be revealed on screen (in the event that there are two back-to-back
half-hour episodes, only one special word will be revealed). After each week's
episode(s), beginning with the July 23, 2008 episode, but no earlier than 10:00 PM ET
on July 23, 2008, consumers may enter the Sweepstakes online or via text messaging
(see below). Consumers are invited to participate each week during the Promotion
Period and enter in the random drawing for that week and all other drawings, as
applicable. There will be a total of: (a) five (5) weekly random drawings; (b) one (1)
random drawing for the Grand Prize; and (c) one (1) A&E Insider Prize drawing, which
will be available only to registered "A&E Insiders" (see details below).

3. HOW TO ENTER: Participants are invited to watch Criss Angel Mindfreak on A&E each
Wednesday, beginning July 23, 2008 through August 20, 2008, beginning at 10:00 PM
ET and ending at 11:00 PM ET (or 10:30 PM ET for half-hour episodes). Participants
should check their local listings for correct channel and changes to scheduling.
Participants may enter in one of the following two (2) ways:

1) Participants may log on to www.aetv.com/criss_angel ("Promotion Website") and
complete the online entry form and enter the special word revealed during the previous
episode to earn one entry into the corresponding weekly drawing and be automatically
entered into the Grand Prize and First Prize drawing. Participants are able to go to
aetv.com/criss_angel starting on July 14, 2008 at 12:01:00AM ET to pre-register their
entry information. Official entries will not be accepted for the Sweepstakes until
10:00:00 PM ET on July 23, 2008. If Participant is an A&E Insider, Participant must enter
the email address Participant registered with A&E Insider on the online entry form to also
receive one entry for that week (and an entry in each subsequent week if participant
remains an A&E Insider), in the separate A&E Insider Prize drawing.
2) Participants who have a text messaging capable mobile phone may text the special
word to AE2GO (23246) to earn one entry into the corresponding weekly drawing and be
automatically entered into the Grand Prize drawing. Participants who wish to enter via
text messaging and are A&E Insiders will receive a text message asking if they are an
A&E Insider which Participants must respond "yes" to in order to receive an automatic
entry into the separate A&E Insider Prize drawing. Participants will be charged standard
text and data rates for each text message sent and received from Participant's handset
according to the terms in Participant's wireless calling plan. Participant must have a text
messaging two-way capable handset and digital service in order to enter the
Sweepstakes using the text messaging method. Text messaging and wireless service
are not available in all areas. Sponsor reserves the right in its sole discretion to
disqualify any text messaging entry at any time, which, in Sponsor's opinion, does not
comply with these Official Rules.

The special word does not need to be correct to earn an entry. If you missed any weekly
episode, you may answer a multiple-choice question found on the Promotion Website to
get the special word. Entries will not be carried forward for subsequent weekly drawings,
but will be included in the Grand Prize drawing at the end of the Promotion Period.
Additionally, if you are an A&E Insider, and you enter the email address you registered
with A&E Insider on the online entry form, you will earn one entry for that corresponding
week (and an entry in each subsequent week if you remain an A&E Insider), into the
A&E Insider Prize drawing. If you would like to become an A&E Insider, visit the
Promotion Website and follow the online instructions for a complimentary membership.
Entries must be received by dates/times stated in the Entry/Drawing chart below in order
to be eligible for each weekly drawing. Entries must be received by 11:59:59 PM ET on
August 26, 2008, to be eligible for the final weekly drawing, the Grand Prize drawing and
the A&E Insider Prize drawing. Limit one (1) weekly entry per person, per email address
or mobile phone number, per week. Limit five (5) entries in total per person, per email
address or mobile phone number for the Grand Prize drawing. Limit five (5) entries in
total per person, per email address or mobile phone number for the A&E Insider Prize
Drawing. For the purposes of this Sweepstakes, a "week" shall be defined as
Wednesdays at 10:00:00 PM ET through Tuesdays at 11:59:59 PM ET. The Promotion
Website will not be available for entries between 12:00:00 AM ET and 9:59:59 PM ET on
Wednesdays during the Promotion Period.

All entries become the sole property of Sponsor. Incomplete entries are void. Any
Participant who attempts or otherwise encourages, directly or indirectly, the entry of multiple
or false contact information under multiple identities, by cellular phone, or uses any device
or artifice to enter or encourage, directly or indirectly, multiple or false entries, as determined
by the Sponsor, will be disqualified. If you send your entry via text message, the prize will
be awarded to the name corresponding to the MTN indicated on your entry. In the event of a
dispute as to the identity of a Participant, entry will be declared made by the authorized
account holder submitted at the time of entry. "Authorized account holder" is defined as the
natural person who is assigned to a mobile telephone number/email address by a telephone
company, wireless service provider, Internet access provider, Internet service provider or
other organization (e.g. business, educational, institution, etc.) that is responsible for
assigning email addresses, telephone numbers or wireless phone numbers for the
telephone exchange associated with the submitted telephone number/email address or the
domain associated with the submitted telephone, as applicable. Sponsor and their
respective parents, subsidiaries and affiliates are not responsible for late, lost, delayed,
unclear, unintelligible, incomplete, misdirected, stolen, ineligible or damaged entries which
will be disqualified or for technical, hardware, software or telephone malfunctions of any
kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate,
garbled or delayed electronic communications caused by the sender, or by any of the
equipment or programming associated with or utilized in the Sweepstakes which may limit
the ability to play or participate, or by any human error that may occur in the processing of
the entries in the Sweepstakes. The computer clock of the Sponsor is the official
timekeeping device of the Sweepstakes.

If for any reason, (including infection by computer virus, bugs, worms, tampering,
unauthorized intervention, fraud, technical failures, or any other cause beyond reasonable
control of Sponsor and their respective parents, subsidiaries and affiliates, that corrupts or
affects the administration, security, fairness, integrity, or proper conduct of each
Sweepstakes), and the Sweepstakes is not capable of being conducted as described in
these Official Rules, Sponsor shall have the right, at its sole discretion, to cancel, terminate,
modify or suspend this Sweepstakes, and select the prize winners from eligible entries
received prior to action taken, or as otherwise deemed fair and appropriate by Sponsor.
Sponsor reserves the right to prosecute any fraudulent entries to the fullest extent of the
law. At the Sponsor's sole discretion, Sweepstakes winners may be disqualified at any time
if they fail to adhere to these official rules.

4. RANDOM DRAWINGS: One (1) Grand Prize winner will be selected in a random
drawing, on or about August 27, 2008, from among all eligible entries received during
the Promotion Period. One (1) A&E Insider Prize winner will be selected in a separate
random drawing, on or about August 27, 2008, from among all eligible A&E Insider
entries received during the Promotion Period. There will be one (1) weekly winner
selected each week for five (5) weeks on or about dates stated in the Entry/Drawing
chart above from among all eligible entries received for each week. All random drawings
will be conducted by Administrator whose decisions are final on all matters relating to
this Sweepstakes. Weekly winners will be notified by phone or express mail on or about
dates stated in the Entry/Drawing chart above. Grand and A&E Insider Prize winners will
be notified by phone or express mail on or about September 2, 2008. As a condition of
winning, each winner grants the right to use his/her name, likeness (where legal), and
biographical information in all media for promotional purposes to Sponsor and
Promotional Partners. As a condition of winning, each weekly, Grand Prize and A&E
Insider Prize winner will be required to sign and return, within 3 business days of
notification, an Affidavit of Eligibility and Release from Liability ("Release"), a Federal
and State tax release, and a statement affirming the winner's grant of all rights in the
submission and the right to use winner's name, likenesses (where legal), and entry in all
media for promotional purposes to Sponsor and Promotional Partners. If winner is a
Canadian resident, he/she must sign and return a Declaration of Compliance with the
official rules. Documents will be sent via overnight mail with a pre addressed, postage-
paid overnight return envelope. Failure to return any documents within the time specified
or failure to respond to notification attempts or return of any prize or prize notification as
undeliverable will result in disqualification and selection of an alternate winner.

5. PRIZES, ESTIMATED RETAIL VALUES ("ERV") AND APPROX. ODDS OF WINNING:
Grand Prize (1): A 4-day/3-night trip for four (4) to Las Vegas, NV from October 9, 2008
through October 12, 2008. Trip includes round-trip coach class air transportation, two (2)
Luxury Tower Suite accommodations (based on double occupancy) for three (3) nights
at the Luxor Hotel and Casino, round-trip limousine transfers to/from airport/hotel in Las
Vegas, VIP check-in at the hotel, four (4) VIP line passes and entrance to More, the
buffet at Luxor, a USD$300 dining credit (for winner) at Fusia, four (4) passes to the
Health Club & Spa at Luxor, one (1) cabana by the Luxor pool for one (1) day, four (4)
VIP passes to LAX and four (4) tickets to attend the Gala Premiere of CRISS ANGEL
Believe by Cirque du Soleil and an after party (ERV: USD$7,280.00). A&E Insider Prize
(1): A 4-day/3-night trip for two (2) to Las Vegas, NV from October 9, 2008 through
October 12, 2008. Trip includes round-trip coach class air transportation, three (3) nights
Luxury Tower Suite accommodations (based on double occupancy) at the Luxor Hotel
and Casino, round-trip limousine transfers to/from airport/hotel in Las Vegas, VIP check-
in at the hotel, two (2) VIP line passes and entrance to More, the buffet at Luxor, a
USD$150 dining credit (for winner) at Fusia, two (2) passes to the Health Club & Spa at
Luxor, a cabana by the Luxor pool for one (1) day, two (2) VIP passes to LAX, two (2)
tickets to attend the Gala Premiere of CRISS ANGEL Believe by Cirque du Soleil and an
after party and Sponsor-selected Criss Angel Mindfreak and CRISS ANGEL Believe
autographed merchandise (ERV: USD$4,285.00). Weekly Prizes (5 ??? one per week): A
3-day/2-night trip for two (2) to Las Vegas, NV from September 26, 2008 through
September 28, 2008. Trip includes round-trip coach class air transportation, two (2)
nights Tower Deluxe Room accommodations (based on double occupancy) at the Luxor
Hotel and Casino, round-trip ground transfers to/from airport/hotel in Las Vegas, VIP
check-in at the hotel, two (2) VIP line passes and entrance to More, the buffet at Luxor, a
USD$150 dining credit (for winner) at Fusia, two (2) passes to the Health Club & Spa at
Luxor, two (2) passes to the Restore Pool Experience, two (2) VIP passes to LAX, two
(2) tickets to attend a preview performance of CRISS ANGEL Believe, and two (2) VIP
backstage tour passes including a meet-and-greet with Criss Angel (ERV:
USD$2,790.00 each). The total ERV of all prizes is USD$25,515.00. Odds of winning a
Weekly Prize are dependent upon the number of eligible entries received each week.
Odds of winning the Grand Prize are dependent upon the number of eligible entries
received during the Promotion Period. Odds of winning the A&E Insider Prize are
dependent upon the number of eligible A&E Insider entries received during the
Promotion Period. Limit one prize per person/household. Grand Prize and A&E Insider
Prize trips must be taken on the dates listed above or prize will be forfeited and an
alternate winner will be selected, time permitting. If any Weekly Prize winner cannot
travel on the dates listed above, he/she may take the trip after October 11, 2008 for up
to one year and he/she will receive two (2) regular tickets to CRISS ANGEL Believe in
lieu of preview tickets, based on availability. Dates of departure and return are subject to
change in Sponsor's sole discretion. Actual value of all trip prizes depend on the city of
departure, time of travel, any airfare fluctuations and on current market conditions at
time of prize fulfillment, and any difference between the stated ERV and the actual value
if any, will not be awarded. If a travel companion is a resident of a jurisdiction that deems
him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian,
and such person must pay his/her own expenses. Travel arrangements will be made
through the travel coordinator designated by Sponsor. Trips are subject to ticket
availability, air/hotel availability, holiday and blackout dates, and other conditions and
restrictions, if provided by prize coordinator/supplier. If any winner lives within one
hundred (100) miles of Las Vegas, NV, USA, the air transportation portion of the prize
will not be awarded and ground transportation will be substituted and no additional
compensation will be provided. Airline and flight times to be selected by air supplier at its
sole discretion and air transportation is from major airport nearest winner's residence.
One or more stopovers may be required on air transportation. Winners and
corresponding guests must travel together at the same time on the same itinerary. Air
transportation and hotel accommodations must be taken together and cannot be taken
separately. Once trip dates have been booked, no change, extension or substitution of
trip dates is permitted, except at Sponsor's sole discretion. No extension or change of
trip dates permitted. Sponsor will not replace any lost or stolen tickets, travel vouchers,
certificates or similar items once they are in winner's possession, or in the possession of
winner's travel companion. Sponsor, its affiliates, subsidiaries, divisions, advertising and
promotion agencies, Administrator and Promotional Partners ("Sweepstakes Entities")
shall not be responsible for any cancellations, delays, diversions or substitution or any
act or omissions whatsoever by the air carriers, hotels or other transportation companies
or any other persons providing any of these services and accommodations to
passengers including any results thereof such as changes in services or
accommodations necessitated by same. If any portion of any prize is unable to take
place as planned, for any reason, including but not limited to, cancellation, scheduling
conflicts or an event of force majeure, the remaining components of the prize will be
awarded and Sponsor's obligation to the winner will be fulfilled, and no other additional
compensation will be provided. Prize conditions may be added or modified by
companies providing those portions of the prize. Winners accept all customary risks
associated with live entertainment. The prize restrictions/conditions stated herein are not
all-inclusive and may be subject to additional restrictions/conditions, which may be
stated in the affidavit and release and/or prize travel documents. Sweepstakes Entities
shall not be liable for any loss or damage to baggage. Winners and travel companions
are solely responsible for obtaining all necessary and required travel documents (valid
photo I.D., passport, VISA, etc.). All airline tickets issued in conjunction with prize are not
eligible for frequent flyer miles, and no code-share flights may be used. Prize
components cannot be used in conjunction with any other promotion or offer, and no
portion may be separated except at Sponsor's sole discretion. Costs for hotel are based
on one room (suite or deluxe room, as indicated) and tax; meals, telephone calls and
other incidentals are not included. Winners must have a valid U.S. or Canadian photo
identification and credit card in his/her name. Prize packages do not include taxes,
insurance, telephone charges, personal expenses, gratuities, incidental charges, or any
other items not specifically described in these Official Rules, and all expenses for any of
the foregoing are the sole responsibility of the winners. Each winner's travel
companion(s) (or parent/legal guardian if a travel companion is a minor) must sign and
return a Release of Liability/Publicity Release (where legal) prior to the issuance of travel
documents. All prizes will be awarded, time permitting. No transfer, substitution or cash
equivalent for any prizes will be permitted, except at Sponsor's sole discretion due to
prize unavailability for any reason other than cancellation, scheduling conflicts or an
event of force majeure, and only then for a prize of greater or equal value determined by
Sponsor shall be allowed. Any and all guarantees and warrantees on merchandise prize
are subject to the manufacturer's terms and conditions, and winners agree to look solely
to said manufacturers for any such warranty or guarantee claim.

6. Indemnification: By entering, Participant agrees to release, defend, hold harmless and
indemnify each of the Sponsor and their respective parents, subsidiaries, affiliates,
contractors, directors, officers, governors, employees and agents against any and all
liability, damages or causes of action (however named or described), with respect to or
arising out of either (i) any damage to Participant's cellular telephone or computer
relating to or resulting from entering or downloading materials or software in connection
with entering this Sweepstakes; or (ii) any injuries, losses, or damages of any kind
caused by the acceptance, possession, use or misuse of a prize awarded in the
Sweepstakes, including but not limited to any claims for damage to property, personal
injury, death or claims based on defamation, rights of privacy, rights of publicity or
merchandise delivery. False or deceptive entries or acts will render the Participant
ineligible. WARNING: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE
THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF
CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE
SWEEPSTAKES ENTITIES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER
REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR SUCH ATTEMPT TO
THE FULLEST EXTENT PERMITTED BY LAW. Sponsor is not responsible for any
printing or typographical errors in these Official Rules or any other materials associated
with the Sweepstakes. Participants enter at their own risk and Sponsor is not
responsible for and shall not be liable for any condition caused by events beyond their
control that may cause the Sweepstakes to be disrupted or corrupted.

7. GENERAL: The Sweepstakes is governed by the laws of the State of New York in the
U.S., with venue and jurisdiction in New York County, NY, USA and all claims must be resolved
in the courts located in New York County, NY, USA. If winner is a Canadian resident, he/she
must answer unaided a time-limited arithmetic skill-testing question as a condition to receiving a
prize. By accepting a prize, winners agree: (1) to release the Sweepstakes Entities and their
agents from all liability, loss or damage arising out of their participation in the Sweepstakes and
with respect to their acceptance and use/misuse of the prizes; (2) to be bound by the Official
Rules; (3) that the decision of the Sponsor is final and binding on all matters relating to the
Sweepstakes; and (4) to the use of their names and likenesses for advertising and promotional
purposes in all media worldwide (including online) without additional compensation, except in
TN, USA and where otherwise prohibited by law. All applicable federal, state, local, provincial
and municipal laws and regulations apply. US winners are responsible for all federal, state and
local taxes and will be provided with IRS Form 1099 for all prizes valued at Six Hundred Dollars
($600) or more. Sweepstakes Entities are not responsible for technical, hardware or software
malfunctions, telephone/mobile phone failures of any kind, lost or unavailable network
connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic
communications whether caused by the sender or by any of the equipment or programming
associated with or utilized in this Sweepstakes which may limit the ability to participate or by any
human or technical error which may occur in the processing of the entries in this Sweepstakes.
Caution: Any attempt by an Participant or any other individual to deliberately damage the
website or any online/cellular service related to this Sweepstakes or undermine the
legitimate operation of the Sweepstakes may be a violation of criminal and civil laws and
should such an attempt be made, the Sponsor reserves the right to seek damages
(including attorney's fees) from any such person to the fullest extent permitted by law,
including criminal prosecution. As permitted by law in accordance with the Sponsor's
Privacy Policy, Sponsor may use information, which all Participants provide about themselves,
to send them announcements about the Sponsor's products and programs via electronic and
ordinary mail. An entry, except where prohibited by law, constitutes a grant of permission to the
Sponsor or its agents to include winners' names on the www.aetv.com site and in connection
with a Winners List without further notice or without additional compensation. Entries that have
been generated by a script, macro, bot or any other automated means will be deemed void.
Entries that are mechanically reproduced, copied, incomplete or inaccurate are void. Duplicate
entries (above the entry limits stated above) submitted by the same person, same email
address or same mobile phone number, during the same week are void. Proof of emailing/text
messaging does not constitute proof of receipt. By entering the Sweepstakes online,
participants acknowledge that they are aware of and agree with the Sponsor's privacy policy
located at: http://www.aetv.com/corporate_privacy_policy.jsp. Sponsor is not responsible for
malfunctions of electronic equipment, computer hardware, and software, malfunctions of the
Participant's email provider or mobile phone provider, lost, late, incomplete entries or entries not
received in time for a drawing. Entries not containing the required information and entries in
excess of the stated limit by the same person will be disqualified. Proof of delivery or receipt of
entry will not be deemed by Sponsor (defined below) as proof of entry. Any attempted form of
entry other than described herein is void. Sponsor is not responsible for problems downloading
entries from the Promotion Website or for any other technical problems related to the entries.
Entries become the property of Sponsor and will not be returned. Normal Internet access and
usage charges imposed by your online service will apply. Normal fees charged by your wireless
service provider will apply. Participant agrees to look to such provider for pricing information and
details. Wireless service may not be available in all areas.

8. WINNERS LIST: For a list of winners, available after September 15, 2008, send a self-
addressed stamped envelope, to be postmarked no later than October 15, 2008 and
received no later than October 25, 2008 to: A&E "Criss Angel Mindfreak Secret Code"
